- There are significantly more key terms and conditions in license agreements. But I've managed to condense the gotchas down to these few. Scope. What exactly is your license for? Make sure you describe the product with incredible specificity. Don't just list "the movie." What does that include? DVDs, bluerays, digital, USB stick? What if any restrictions will the parties impose on the license? By market segment, global location, retail outlets? Geographic Scope. This determines the physical area where a customer may use or sell your product. Could be a US state, a country, multiple countries or any combination there of really. This can get extremely complex extremely quickly especially when you start combining it with all the other Ts and Cs of a license agreement. Term and Termination. How long is this license good for? When does it start, when does it end? Be careful of Ts and Cs elsewhere that could extend or terminate the license without any action on your part. Consider your fee…
